Perch Base is a professional networking and learning platform designed to help individuals and organizations connect, collaborate, and grow. The Service allows users to create professional profiles, join communities (“Bases”), share opportunities, host or attend events, publish content, and message others.

3. Acceptable Use and Conduct

Use Perch Base only for lawful, professional purposes.
Do not misrepresent your identity, role, qualifications, or affiliations.
Do not post or transmit unlawful, harmful, threatening, abusive, defamatory, harassing, obscene, or otherwise objectionable material.
Do not engage in spamming, scraping, data mining, or unauthorized automation.
Do not use Perch Base to promote or facilitate discrimination, hate, or violence.
Do not attempt to gain unauthorized access to any part of the Service or interfere with its operation.

4. Your Content and License to Us

You own the content and information that you post, upload, or otherwise share on Perch Base (“User Content”). By submitting User Content, you grant Swanz Soft Solutions LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, distribute, communicate, and display such content as necessary to operate, improve, and promote the Service. You represent and warrant that you have the rights necessary to grant this license and that your User Content does not infringe any third-party rights.

5. Professional Opportunities Disclaimer

Perch Base is not an employer or recruitment agency. We do not participate in hiring, contracting, or compensation decisions between users. All employment, freelance, or partnership arrangements facilitated through the platform are solely between the parties involved. Swanz Soft Solutions LLC disclaims all responsibility for employment outcomes, negotiations, or representations made by users.

6. Intellectual Property Rights

Except for User Content, all materials and features within Perch Base—including but not limited to text, graphics, logos, icons, software, and databases—are owned or licensed by Swanz Soft Solutions LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, create derivative works from, distribute, or publicly display any portion of the Service without prior written consent.

7. Feedback and Suggestions

Your contact information and a physical or electronic signature.
Identification of the copyrighted work and the allegedly infringing material.
A statement that you have a good-faith belief that the use is unauthorized.
A statement, under penalty of perjury, that your notice is accurate and that you are the copyright owner or authorized agent.

12. Indemnification

You agree to indemnify and hold harmless Swanz Soft Solutions LLC, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising from your access to or use of the Service, your User Content, or your violation of these Terms.

13. Disclaimer of Warranties

Perch Base is provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

14. Limitation of Liability

To the maximum extent permitted by law, Swanz Soft Solutions LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use or inability to use the Service. Our total liability for any claim shall not exceed the greater of (a) the amount you paid to use Perch Base during the preceding six months, or (b) USD $100.

15. Arbitration and Dispute Resolution

Binding Arbitration: Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall take place in Hillsborough County, Florida, and judgment on the award may be entered in any court of competent jurisdiction.

Class-Action Waiver: You and Swanz Soft Solutions LLC agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative action.

16. Export Compliance and Sanctions

You agree to comply with all applicable export control laws, including U.S. Export Administration Regulations, and not to use or provide access to Perch Base in any country subject to embargoes or sanctions.

17. Termination and Suspension

We may suspend or terminate your account, or restrict access to any part of the Service, at any time for conduct that we believe violates these Terms, applicable law, or harms other users or Perch Base’s reputation. Upon termination, all rights granted to you will cease immediately, but the following sections will survive: 4, 5, 6, 8, 12-17, and 19-20.

18. Changes to the Service or Terms

We may modify, suspend, or discontinue parts of the Service at any time. We may also revise these Terms; the updated version will be posted with a new “Last Updated” date. Continued use of Perch Base after the effective date of any changes constitutes your acceptance of the revised Terms.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, U.S.A., without regard to its conflict of law provisions. You agree that any judicial proceedings (if arbitration is not applicable) will be brought in the federal or state courts located in Hillsborough County, Florida.

20. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent possible and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy and any supplemental guidelines, constitute the entire agreement between you and Swanz Soft Solutions LLC regarding your use of Perch Base.
